PLEASE READ THIS AGREEMENT CAREFULLY. BY PURCHASING, DOWNLOADING, INSTALLING, ACCESSING, OR USING ANY UNDERGROUND TRADER SOFTWARE, SERVICE, LIVE SESSION, OR RELATED MATERIAL, YOU CONFIRM THAT YOU HAVE READ, UNDERSTOOD, AND AGREED TO THESE TERMS.
AGREEMENT AND ACCEPTANCE
These Terms of Use and End User License Agreement (“Agreement”) are between Underground Trader (“Underground Trader,” “we,” “us,” or “our”) and the individual or entity purchasing, accessing, or using our software, services, website, educational materials, or live sessions (“User,” “you,” or “your”).
If you do not agree to this Agreement, do not purchase, install, access, or use the products or services.
PRODUCTS AND SERVICES
Underground Trader may provide trading indicators, strategies, dashboards, alerts, trade-management tools, execution assistants, trade copiers, educational materials, installation files, software updates, customer support, and live trading demonstrations.
Product features, compatibility, availability, and requirements may vary. Certain products require NinjaTrader 8, Windows, an active market-data connection, a compatible brokerage or evaluation account, or third-party software and services.
LIMITED SOFTWARE LICENSE
Subject to payment of all applicable fees and continued compliance with this Agreement, Underground Trader grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, and revocable license to install and use the purchased software for your own lawful trading and educational purposes.
The software is licensed, not sold. Your purchase does not transfer ownership of the software, source code, trading logic, designs, trademarks, documentation, or other intellectual property.
Unless your purchase terms expressly state otherwise, one license is intended for one authorized customer and may be limited to approved computers, user accounts, machine identifiers, or NinjaTrader User-Based Vendor Licensing credentials.
LICENSE ACTIVATION AND ACCESS
Some products may require online activation, a valid subscription, a license key, a machine identifier, a NinjaTrader account, or another approved verification method.
You are responsible for providing accurate activation information and maintaining the security of your account and credentials. You may not share, sell, transfer, rent, or allow another person to use your license.
Underground Trader may suspend or deactivate a license when a subscription expires, payment fails, a charge is reversed, misuse is detected, or this Agreement is violated.
RESTRICTIONS
You may not:
• Copy, reproduce, republish, distribute, sell, rent, lease, sublicense, or commercially exploit the software or documentation without written permission.
• Share installation packages, license keys, credentials, compiled assemblies, source code, protected files, or access links with another person.
• Reverse engineer, decompile, disassemble, decode, modify, bypass, defeat, or attempt to discover the source code, trading logic, licensing controls, security features, or proprietary methods used by the software.
• Remove or alter copyright notices, trademarks, branding, license checks, security controls, or proprietary notices.
• Use the products to create, train, market, or distribute a competing or substantially similar product.
• Use the software or services for unlawful activity, market manipulation, unauthorized account access, or any activity that violates a broker’s, platform’s, exchange’s, or evaluation provider’s rules.
INTELLECTUAL PROPERTY
Underground Trader and its licensors retain all rights, title, and interest in the products, source code, compiled code, interfaces, indicators, strategies, calculations, signal logic, dashboards, graphics, logos, trademarks, documentation, videos, training materials, website content, and updates.
“Underground Trader,” its logos, product names, and related branding may not be used without prior written permission.
USER RESPONSIBILITIES
You are responsible for:
• Confirming that your computer, NinjaTrader installation, brokerage connection, market-data service, and third-party accounts are compatible with the product.
• Correctly installing, configuring, testing, and monitoring the software.
• Testing products in simulation before considering use with live funds.
• Reviewing all orders, positions, account balances, and platform connections.
• Selecting your own entries, exits, position sizes, stop losses, profit targets, and risk limits.
• Following all broker, exchange, prop-firm, evaluation-provider, and applicable legal requirements.
• Maintaining adequate internet access, market data, computer security, account security, and backup procedures.
You remain solely responsible for every trading decision and every order placed in your account, including orders submitted manually, automatically, through hotkeys, by a strategy, by an execution assistant, or through a trade copier.
NO INVESTMENT ADVICE
Underground Trader provides software and educational information only. Underground Trader is not a broker, futures commission merchant, commodity trading advisor, investment adviser, financial planner, attorney, accountant, or fiduciary.
Nothing provided through our software, website, support, live sessions, alerts, signals, dashboards, videos, communications, or educational materials constitutes personalized financial, investment, legal, or tax advice.
You must independently decide whether any trade or strategy is appropriate for you.
TRADING RISK AND NO GUARANTEE
Futures, options, foreign currency, and other leveraged trading involve substantial risk and are not suitable for everyone. You may lose some or all of the money committed to trading, and losses may exceed the amount initially deposited depending on the product, broker, and market conditions.
Signals, scores, alerts, confirmations, examples, demonstrations, and automated functions do not guarantee a profitable trade or prevent losses.
